The CONSTITUTION and By LAWS Of

ZAMBIA BAPTIST ASSOCIATION

As adopted at the biennial Assembly At musenga October 2000; Revised at musenga 2007;2009:

PREAMBLE

The Zambia Baptist Association exists as an expression of the essential oneness of Baptist people in the Lord Jesus Christ, to impart inspiration to the fellowship and to provide channels for sharing concerns and skills in witness and ministry. The Association recognises the traditional autonomy and interdependence of Churches.

VISION STATEMENT

To see equipped member churches committed to the Lordship of Jesus Christ, united, in obedience to the great commission.

MISSION STATEMENT

Motivated by the love of Jesus Christ, obedient to Holy Scripture and guided by the Holy Spirit, we exist to assist the ministry of the local church through mobilizing, equipping and coordinating member churches to reach the lost holistically, promoting unity, love fellowship and establishing indigenous New Testament churches for the glory of God.

THE CONSTITUTION

  1. Name This Christian Organisation shall be called the Zambia Baptist Association, (thereinafter called the ZBA or the Association).
  1. Objectives Under the guidance of the Holy Spirit the objectives of the Zambia Baptist Association shall be to:

2.1 To teach its people according to the New Testament (Ac.1:8; Mt.28:19-20).

2.2 Promote missionary enterprise and teach Biblical principles (Mt. 28:18-20;).

2.3 Develop a strategy for witness and outreach that will provide opportunity for service and encourage a concern for the unreached within Zambia and beyond (Mt. 28:18-20; Ac. 1:8;).

2.4 Promote Christian fellowship, love and co-operation among Baptists throughout the country (Heb. 10:24-25; 1.Jn. 1:7; ).

2.5 Promote unity, understanding and co-operation among Baptist Churches (Eph. 4:3; 1.Co. 12:1213;).

2.6 Promote the Gospel of Jesus Christ and assist Churches and District Fellowship Committees in the divine task of bringing all people to God through Jesus Christ as Saviour and Lord (Jn. 13:34-35;).

2.7 Establish Baptist Churches which will be indigenous and serve in co-operation with member Churches as a resource for the development of plans for evangelism, Christian education and church growth.

2.8 Co-operate with other Christian groups whose beliefs and aims are compatible with those of the Zambia Baptist Association Churches, in keeping with our unity in Christ.

2.9 Establish and maintain Institutions and Ministries for the purpose of training believers for Christian service.

2.10 Serve as a channel for expressing Christian social concern and alleviating human need.

2.11 Provide channels of communication dealing with work related to these objectives through all appropriate media.

2.12 Act as an agency of reconciliation, seeking peace for all persons and upholding the claims of fundamental human rights, because human beings are created in the image of God (Ge. 1:26).

  1. Statement of Faith We believe:
    3.1 Scripture In the Holy Scriptures as originally given by God, divinely inspired, infallible, entirely trustworthy and the supreme authority in all matters of faith and conduct. By the Scriptures we mean only the sixty-six (66) books of the Holy Bible (Thirty-nine (39) books of the Old Testament and twenty-seven (27) books of the New Testament) They are Gods revelation to humanity and are complete in the Holy Bible, no additions or subtractions can be made. By the Bible we mean translations by a wide body of evangelical Scholars. In view of the fact that many people do not read the bible in its original languages, it is important that we read accurate translations and not depend on paraphrases. (Ps 19:7; 2Tim. 3:16,17; 2Pe. 1:19-21; Rev.22:19;).
    3.2 God In One true God, the creator of everything, eternally existent in three persons Father, Son and Holy Spirit. What we mean by eternally existing in three persons is that the Father is God, the Son is God and the Holy Spirit is God. (Ge. 1:1 Jn. 1:1,2 17:1-3, Mt. 28:19, Isa. 9:6). The Bible teaches that God is pure spirit without any material parts, whatever, who dwells inapproachable light, whose essence is love, who is selfsufficient, unchanging, eternal, all powerful, all knowing, everywhere present, holy and incomprehensible. In all his relations outside himself, He is sovereign, gracious, righteous, longsuffering, merciful and approachable through Christ only. (Gen 17:1; 1Ki. 8:27; Ps.139:7-10; Pr. 15:3; Jer. 23:23-25; Mt.19;26; Ac. 7:48f; Heb.4:13; Rev. 4:8;).
    3.3 Jesus Christ In the Lord Jesus Christ, God manifest in the flesh, who was born of a virgin, lived a sinless life, fully God and fully man; He died on the cross for our sins, and reconciled us to God. He rose from the dead bodily and ascended to the Father, where he serves as a High Priest until the time of His glorious return.(Mt. 1:21-23 Jn. 1:1-14 Heb. 4:15 1Jn. 2:1,2 Jn. 21:25; Rev. 1:7,8;).

3.4 The Holy Spirit In the Holy Spirit who is fully God, works in sinners to convict them of sin and produce new birth. The Holy Spirit dwells in the believer permanently and unites him/her to the body of Christ. He enables the believer to live a life that is pleasing to God by submitting to His guidance. He empowers and gifts believers for the work of ministry. (Mt. 28:19: Jn. 3:5; Eph. 1:13; Ro. 8: 11, 16; 1Co. 12:13; Eph 4:7-14;)
3.5 Man That Man was created in the image of God. Both male and female were created in His image. They were created with a free will and sinless nature. God blessed them and gave them authority to rule over the whole creation under His authority. (Ge.1:26-28)
3.6 Sin That Sin entered the world through one man, when he chose to obey Satan rather than God. The sin of this one man affects the whole humanity and brings condemnation on all mankind. Sin not only affects man but the whole creation. Sin separates man from God but also renders him totally incapable of choosing anything that pleases God. Therefore man is utterly unable to save himself. Since the fall of Adam, all human beings are born with a sinful nature (Total Depravity). (Ge. 6:5; Mk. 7:21f; Ro. 1:24-27; 7:14-24; Gal. 5:19-21; Jas. 3:5-9;)
3.7 Salvation That Salvation is entirely God’s gift to a sinner. This was made possible through the atoning blood of the Lord Jesus Christ by HIS death and resurrection. It is imparted to people by grace through faith. All who believe, repent of their sins and confess with their mouth that Jesus is Lord and can be sure of this salvation as the bible teaches: (Jn. 10:28,29; Rom. 8:1,5,17; Eph. 1:13; 1 Jn. 3,1,2;). This salvation cannot be lost. Salvation is not by works but the gift of God through the regenerating work of the Holy Spirit (Isa. 53:5,6 ; Jn 3:15-18; Ac. 8,39; Ro. 3:23-26; 5:1;10:9,13; Eph. 1:7; 2:8,9; )
3.8 The Church That the only head of the Church is Jesus Christ (1Co.12:13; Eph. 4:15). The church is the whole company of those who have been redeemed by Jesus Christ and are regenerated by the Holy Spirit. The local Church, being a manifestation of the universal Church is a community of believers in a particular location where the Word of God is preached. Ordinances are properly administered and discipline is biblically exercised. It is fully autonomous (see Appendix B); and remains so; notwithstanding responsibilities it may accept by voluntary association (Mat. 16:18; Eph. 3:1-12; 1:22,23; 5:15-49; Ac.10:44,45; Ro. 12:3-8; Rev. 19:7-9; 1Co. 12:13,27;).
3.8.1 Church Governance As Baptists we believe in the Congregational type of Church Government, by this we mean that each member has the privilege and responsibility to use his / her gifts and abilities to participate fully in the life of the church. We recognize that God gifts His Church with Overseers (who are called Pastors and Elders) whose primary function is to lead in a spirit of a servant hood, to equip and provide spiritual oversight, and Deacons, primary function is to facilitate the smooth functioning of the Church. This principal further recognizes that each member should participate in the appointment of the local Church Leaders. The constituted Church meeting, subject to the direct Lordship of Christ and the authority of the Scripture, is the highest court of authority for the local Church. Each local Church seeks, not merely to discover the opinion of the majority of the members, but rather, through prayer and fellowship, to know mind of God (Ac. 6:1-7; Ti. 1:5; 1Tim. 3;).
3.8.2Church Officers That the Bible mandates, only two Offices in the Church, namely, Eldership and Deaconate. Among the elders are those whom we call pastors and these are set apart for prayer and study of God’s word, and should be adequately maintained in material needs, so as to be freed from the need to engage in secular employment. The office of eldership is open to biblical qualified men only. The appointment of elders and the choosing of deacons is the responsibility of the local church guided by the eldership where elders are in place (Ac. 6:1-7; 1Tim. 3:1-13; Tit. 1:5-9)
3.8.3The Mission of the Church is: o Ministry to the Lord – Worship; o Ministry to the Church – edifying its members; o Ministry to the world – evangelism; (Mt. 28; Jn. 20:21; Ac. 13:2; Ro. 12:3 ff; 15:7-9; Ep. 4:1; 1Pe. 4:11).
3.8.4Church Membership A person can only become a Member of the Baptist Church through confession of faith in Jesus Christ, fulfilling the Lord’s command by being baptised in the name of the Father and of the Son and of the Holy Spirit and by acceptance of the statement of Faith and Constitution (Mt. 28:19; Ac. 2:42).
3.8.5Responsibilities of the Church Members The Responsibilities of a Church Member are: Regular attendance of Church meetings, and commitment to receiving the regular teaching of the word, financial / material support of the local church, missions, caring for one another, providing the material relief of the needy church members and preaching of the Gospel. Members of the church are required to give themselves first to the Lord and to one another (Ac. 2:42-43; 2Co. 8-9; Gal. 6:2; 1Ti. 4:13; Heb. 10:25).
3.8.6The Discipline of the Local Church That all Discipline in the Local Church should be exercised with love and patience, as well as in accordance with the teaching and example of the Word, and the end in view, must always be the repentance and restoration of the offender and the purity and blessing of the church. Members who persist in denial of fundamental doctrine, who by ungodly conduct bring dishonour and disunity on the church ought to be disciplined (Mt. 18:15-17; Ro. 16:17; 1Co. 5:4; 11:2; 2Th. 3:6-14; Tit. 3:10-11; c.f. Appendix A).
3.9 The Ordinances That the local church should practise two Ordinances, namely: Baptism of believers by immersion in water and the Lord’s Supper.
3.9.1Baptism Baptism portrays our redemption through the death, burial and resurrection of our Lord Jesus Christ. Believer’s baptism is an act of obedience to our Lord Jesus Christ and a sign of personal repentance, faith and regeneration; it consists of the immersion in water, into the name of the Father and the Son and the Holy Spirit. The candidates in this ordinance express their separation from the world and their identity with Christ, in His death, burial and resurrection and their devotion henceforth to Him. The ordinance is to be administered only by those who have exhibited repentance from sin and made their profession of their faith in Christ (Mt. 28:19-20; Mk. 16:15-18; Ro. 6:3-4).
3.9.2The Lords Supper The Lords Supper is a memorial to Christ, a pledge of the New Covenant, a proclamation of Christ’s death, a prophecy of His coming, and an expression of the inherent unity of the Church and a means of strengthening the faith of the believers. (Mt. 26:26-29; Lk. 22:19-20; 1Co. 11:23ff).
3.10 The Priesthood of all Believers As Baptists, we believe in the Priesthood of all Believers, by which we understand that each Christian has direct access to God through Jesus Christ our High Priest, and shares with Him in His work of reconciliation. This involves intercession, worship, faithful service bearing witness to Jesus Christ, even to the end of the age (2Co. 5:18-20; 1Pe. 2:5-9; Rev. 5:9).
3.11 Liberty of Conscience As Baptists, we believe in the individual soul liberty. No one should be forced to assent to any belief against his/her will, either by the state or any secular, ecclesiastical or religious group in matters of faith. The right of private conscience is to be respected. For each this means the right to interpret Scriptures responsibly and to act in the light of his /her conscience (Ro. 14:5,12; 2Co. 4:2; Tit. 1:9).
3.12 Separation of Church and State The principal of separation of Church and State. In the providence of God, the two differ in their respective natures and functions. The Church is not to be identified with the state nor is it in its faith and practice, to be directed or controlled by the State.
3.13 Satan The personal existence of Satan, the arch enemy of God and all true believers; whose intent is to supplant God and frustrate His purpose and whose ultimate end is consigned to eternal punishment together with all his followers. (Isa. 14:12-15; Jn. 8:44; 2 Cor. 4:3,4; 11:14; Eph.2:2; 1Jn. 3:8; Rev. 20:7-10;).
3.14 Resurrection The Bodily resurrection of all the dead, of believers and unbelievers. The believers will be raised to eternal life to be with the Lord forever and unbelievers to eternal destruction in the lake of fire (Jn. 5:28,29; Ac. 24:15,21; 1Co. 15:12-58; Rev. 21:8;)
3.15 Judgement The judgement of God is identified with the coming day of the Lord Jesus which will accompany the Manifestation of His kingdom. All people will be judged. The righteous to eternal life, the unrighteous to eternal death (Rev. 20:11-15;).

  1. Membership The Association shall consist of Baptist Churches in Zambia that subscribe to the statement of faith and accept and abide by the constitution and pay their annual affiliation fees to the Association. In accepting membership in the Association, the member Church thereby accepts responsibility and commitment for financial and material support, participating in the programmes, subscribing to the interdependence of Churches and furtherance of the purposes and work of the Association.
    The right to membership is extended to: 4.1.1 Baptist Churches 4.1.2 Preaching points and stations These are places where regular services are held in association with our work, but where there are less than fifteen born again, committed, standing and baptized members. Such congregations shall not directly be in membership in the Association but shall fellowship with a Baptist member Church wherever it is possible and membership shall be part of the said Church. Such congregations shall send one delegate to the General Assembly of the Association but such delegates shall not be entitled to vote. 4.1.3 New Applications Any preaching points or stations with fifteen born again, committed, standing and baptised members which desire to co-operate in the work of the Association shall be eligible for membership, subject to the approval of the General Assembly. However, membership in the Association is admitted by vote of the General Assembly on the recommendation of the General Executive Committee. Application shall be made in writing to the Executive Director to whom shall be submitted a copy of the Church’s constitution, and subsequent amendments to it, for consideration by the General Executive Committee. The minimum number of members required for the Church to be considered and admitted to the Association with full delegate and voting powers shall be fifteen (15). The mother Church shall recommend their membership to the Association. Standard forms shall be completed by new applicants for ZBA records.
    4.1.4 Churches started by ZBA 4.1.4.1 Churches started by ZBA member churches automatically become members of the Association on attainment of 15 (fifteen) members. 4.1.4.2 Churches established by ZBA personnel automatically become members of the Association on attainment of 15 (fifteen) members. 4.1.4.3 Termination of membership.

The General Assembly (Meeting)
The General Executive Committee
Its officers
Such committees as are provided for in the By-laws, and such departments, ministries and committees as the General Assembly and/or the General Executive committee shall authorise.
District Fellowship Committees

General Assembly
Delegation Delegates to the General Assembly shall be accredited members in good standing in Churches that are affiliated to the Association. Others will include pastors, departmental heads, missionaries and other church workers in service with the Association.
Frequency of Meeting The General Assembly shall meet biennially in the months of February or March or at a date decided upon by the General Executive Committee. Extra ordinary General Assemblies may be called at the discretion of the General Executive Committee or by petition of a quarter of the membership of the Association.
Quorum Fifty one percent (51%) of the paid up member Churches belonging to the Association shall constitute a quorum for the General Assembly (Meeting).
Business The Biennial General Assembly shall review reports as well as decisions and policies of the General Executive Committee with power to confirm or reject such decisions and policies. The General Assembly shall approve or disapprove the names of the full time workers as shall be nominated by the General Executive Committee.
Amendments Amendments to this constitution may be proposed by the General Executive Committee or a petition signed by no fewer than a quarter (1/4) of Member Churches.

  1. General Executive Committee The General Executive Committee’s Term of office shall be for Four (4) years except for the Executive Director. Officers and committee members may be re-elected for additional terms of office.
    Composition of the General Executive Committee The Committee shall be made up of four office bearers (officers), the Chairman, Vice Chairman, Executive Secretary and Treasurer and three committee members nominated by member churches and elected at the Biennial General Assembly for a Term of four years.
    Not more than four (4) additional members, Any of whom may be co-opted by the General Executive Committee at any time, to serve until the conclusion of the next General Assembly (Meeting). In working such co-options, the General Executive Committee shall give consideration to, but not limited to representation of the Committee, Fund Raising Committee, District Fellowship Committees which assist the Association in the work.
    One missionary representative from such partners as ex-officio.
    The Executive Director shall be a full time officer. Conditions of service for full time christian workers (members of staff) for the ZBA shall be governed by by-laws as determined by the General Executive committee subject to ratification by the Biennial General Assembly.
    District chairmen, in some cases Provincial Chairmen, shall be ex-official members of the executive committee.
    Any executive member, who misses three consecutive meetings without a proper valid excuse, ceases to be an executive member. For District chairman, they would also cease to be District chairman.

  2. Functions of the General Executive Committee Subject to the General Assembly (Meeting) the General Executive committee shall:
    Transact the business of the Association between the General Assembly (Meeting) and supervise the Administration of any undertaking of the Association.
    Appoint a Fund-Raising Committee and authorise such departments, ministries and committees as it may deem necessary and determine their duties.
    Arrange local, District, Regional, countrywide or other Teaching Conferences or seminars as may be considered desirable
    Fill vacancies as provided in Article 9 of the constitution
    Fix the time and place for the General Assembly (Meeting) and be responsible for all necessary arrangements thereof including the preparation of the programme.
    Serve as a Nominating Committee In respect to the election of the Executive Director, the Administrative Secretary and such other full time workers as the General Executive Committee may deem desirable.
    Employ other full time workers as may be deemed desirable.
    Appoint Pastors with the gift of teaching to serve in the newly planted Churches on contract basis as the General Executive Committee may deem necessary.
    Have powers to co-opt persons to the General Executive Committee in its current Term of office. There must be at least two non-ministerial members of the General Executive Committee.
    In the event of doctrinal deviation and practice, or unresolved conflicts where all possible avenues have been explored, the General Executive shall have powers to recommend to take necessary corrective measures or expulsion of a Church to the General Assembly
    Have powers to nominate persons to represent the Association in other organisations to which the ZBA is affiliated.

  3. Officers The officers of the Association shall be the Chairman, Vice Chairman, Executive Secretary, Treasurer, and the Executive Director.
    Election The Association at the Biennial General Assembly shall elect the Chairman, Vice Chairman, Treasurer, Executive Secretary and the three (3) Executive Committee Members (see item 9.5). The election shall be by ballot and by simple majority.
    If an officer shall die, resign or become incapable of discharging his duties, the General Executive shall have powers to fill the vacancy so created with a suitably qualified person until the time of the Association’s Biennial General Assembly (Meeting).
    The Chairman, Vice Chairman, Executive Secretary, Treasurer and Committee Members may be re-elected for additional terms of office. Nominations for these positions shall be made by member Churches and announced preferably a day prior to the election. Nominations may also be made by a voting delegate or the General Executive Committee at least two hours prior to the election in case of vacant positions, during the General Assembly, with the consent of the person or persons nominated. The elected officers shall all take office at the closing of such a meeting (General Assembly).
    Direct employees of the Association under the Secretariat – Departments, Ministries and subsidized workers, either by a subsistence allowance or housing allowance do not qualify to be elected as officers of the Association.
    In order for the smooth continuation and progress of the work of the Association half of the executive officers and members shall be elected at one Biennial General Meeting. (Chairman, Treasurer and one Member; at the next Biennial General Meeting: Vice Chairman, Secretary and two Members). The term of office for elected executive members will be four years.

  4. Finances Finances necessary for the running of the Association shall be raised through:
    Raising of funds 10.1.1 Annual Affiliation fees paid by member churches 10.1.2 Voluntary gifts and donations from acceptable sources. 10.1.3 Other collections as may be determined by the General Executive Committee provided they are consistent with Biblical principles. 10.1.4 General appeal for Funds In the case of all departments, ministries and committees of the Association; any general appeal for funds made in the name of the Zambia Baptist Association, by any such sub – ministry/committee, shall be submitted for the approval of the General Executive.
    Financial Control 10.1.5 General Executive Committee shall be responsible through the Treasurer of the Association to present a audited financial report at the Biennial General Assembly and whenever the General Executive may require him to do so. 10.1.6 The report shall be audited by qualified auditors who shall be appointed by the General Executive Committee. An Annual Report of all income and expenditure shall be required. 10.1.7 The clerical and other expenses incurred by any sub- ministry/committee or any expense incurred by a member Church in promoting the work of the Association shall be borne by the body concerned and shall not be charged to the Zambia Baptist Association unless such expense was previously authorised. 10.1.8 The Treasurer shall visit all the departments and projects and supervise their management of finances.
  5. Business Meeting In between the Biennial General Meetings the General executive shall have power to convene a business meeting to receive and review reports submitted by departments, ministries and District Committees. The fund raising and project committees, etc. shall also submit their reports for review. The business meeting shall review, approve or disapprove the progression of the ministerial and financial work of the Association.
  6. Regulations Relating to Trustees Under The Land Perpetual Succession) Ordinance.
    Immovable Properties All immovable properties to which the Association is or shall become entitled to hold shall be vested in three trustees who shall be incorporated under the Provisions of the Land (Perpetual Succession) Ordinance under the style of the Zambia Baptist Association Registered “Trustees” and who shall be appointed by resolution of the Biennial General Assembly (Meeting) which resolution shall be duly passed and noted in the minutes.
    A Trustee must be a member of a ZBA Church.
    Trustee shall cease to hold office: 12.1.1 Upon death or resignation 12.1.2 Upon remaining absent from Zambia for a continuous period of three years. 12.1.3 Upon becoming unfit or otherwise incapable of acting as a trustee.

12.1.4 Ceasing for any cause to be a member of a Church in membership with the Association.
New Trustees Shall be appointed by the Biennial General Assembly (Meeting) from time to time in the same manner as the first Trustees.

Such nominations for adoption shall be brought to the Biennial Assembly by the General Executive Committee.
Buying and selling of immovable properties All land and/or interest in land which may be acquired from time to time with such approval as the law may require shall be used wholly for the purposes of the Association. Leasing, selling, exchanging or renting will be determined by the General Assembly upon recommendation from the General Executive Committee. All immovable properties can only be sold with the approval of the General Assembly.
Seal The General Executive Officers shall provide for the safe custody of the common seal which shall only be used by the authority of the General Executive or of a committee of the General Executive authorised by the General Executive on their behalf. Such seal shall be kept in the custody of the Executive Director of the Association. Every instrument, to which the seal shall be affixed, shall be signed by one of the Trustees and shall be countersigned by the Chairman or by anyone of the officers, by placing their signatures opposite the seal. No person dealing with the Association or Executive or the Trustees shall be found or concerned to see or enquire as to the authority under which any instrument is sealed or in whose presence

  1. Departments, Committees and Ministries
    Departments
    A Department may be established or be recognised by the Association with its own governing body. Each department of the Association shall be governed in accordance with the By-laws which have been approved by the General Assembly of the Association.

Standing Committees
May be established by the By-laws or by action of the General Executive Committee from time to time. Each such committee being created for a continuous purpose, such as the promotion of fund raising. The General Executive Committee shall appoint the members of each such committee. Appointments shall expire at the conclusion of each meeting of the Biennial General Assembly, but persons serving on such committees shall be eligible for re-appointment.
Ministries
A Ministry may be established by the By-laws of the Association to carry out a major assignment of the countrywide work (Local, District and National), The General Executive Committee shall appoint a director to guide the work of that particular ministry subject to such policies as may be determined from time to time by the General Executive of the Association. Each ministry shall be governed in accordance with the Bylaws which have been approved by the General Assembly of the Association. Such ministries shall be responsible to the General Executive Committee of the Association through the Executive Director.

District Committee District Fellowships recognised by the Zambia Baptist Association shall be an association of organised autonomous local Baptist Churches and Preaching Points within a defined geographical location. Such Churches and Preaching Points shall be grouped wherever possible into District Fellowships where there are few Churches in the area, for purposes of effective fellowship, promotion of brotherly love and the coordination and execution of evangelism and outreach tasks in the District. The District fellowship shall abide by the Zambia Baptist Association Constitution and by the District Fellowship guidelines.

  1. Ordination
    15.1 Definition Ordination, the setting a part of a person for ministry in the Church, takes its Biblical precedence from the laying on of hands, setting a person apart for a specific work (Acts 6:6; 13:1-3). Ordination, which is a public recognition and confirmation that an individual has the appropriate gifts, such as pastor, evangelist, teacher, etc, and has been called of God to that service. The ordination service in itself has no validity without this divine gift and call; it does not give the candidate any special powers, abilities or knowledge.
    15.2 Revocation Ordination may be revoked for such reasons and conduct deemed to be unbecoming of the office and work of a minister of the Gospel. An ordained person is subject to the discipline of the Local Church where he holds membership. Ordination carries the right to use the title Reverend. The local Church shall make arrangements for ordination and/or induction services. Participation of the ZBA ordination council is encouraged but not mandated.
    15.3 Ordination Council There shall be an Ordination Council which shall interview the candidates and shall establish their gifts, qualifications and theological training. The Ordination Council will seek to maintain standards among ordained pastors and other church workers within the Association. The Council will be a voluntary accreditation body without any rights over any local Church’s plans to ordain, induct or dismiss their pastors. The Council members will be elected from among some of the senior pastors in the Association. The Executive Director and Chairman of the Association will be ex-officio members with voting rights. Their terms will run from the conclusion of one biennial General Assembly to the conclusion of the next one. Members will be eligible for re-election for a further Term of office. The Chairman of Ordination Council will be elected from the floor of the Biennial General Assembly in the manner the members of the General Executive Committee are elected.
    15.4 Accreditation It will be in the interests of every pastor in the Baptist Churches to seek accreditation with the Association as it will be in the interest of every local Church to employ pastors accredited to the Association. The Association will keep a roll of accredited ministers. Such a roll will be updated at every Biennial General Assembly.
    15.5 Procedures of Ordination Candidates may apply to ZBA Ordination Council for recognition and accreditation. The application should be accompanied by suitable character and academic references including one from the local Church where the applicant is or has been in membership. Candidates may be serving ministers. The Ordination Council will arrange for an interview to include a written section testing Bible knowledge, doctrines of the Church, distinctives of Baptist beliefs and practices, pastoral aptitude and history of Baptist work in Zambia. Only candidates who pass the written section will go on to the oral stage where matters of character, experience and gifts will be assessed. Names of successful candidates will be added to the Register of Accreditation kept at the Secretariat. Each candidate will be issued with a certificate of accreditation bearing his name and signed by the current chairman and Executive Director.
    15.6 Transfers from other Associations, Conventions and Unions Candidates accredited by other recognised Associations and Unions e.g. Mpongwe, Northern Baptist Associations, Conventions, etc. may be accredited by the production of a letter of recommendation from such Associations, Conventions and Unions.
  2. 15.7 15.5 Signing the statement of Faith All accredited members shall be required to sign the Association’s Statement of Faith at the Biennial General Assembly.
  1. Dissolution of the Association This non – profit Christian Association of Churches is organised for an indefinite period. However, should dissolution be advisable, the General Assembly has the authority, given six months prior notice, to pass a resolution of dissolution at the General Assembly by a two-thirds (2/3) majority of all voting delegates. Any assets wholly owned by the Association will, in such event be transferred to a similar Baptist, non-profit organisation such as Baptist Union of Zambia.
  1. Amendments
    Amendments to this constitution may be proposed by the General Executive Committee or a petition signed by no less than a quarter (1/4) of the member Churches.
    No change shall be made to this constitution except by a two-thirds (2/3) majority of the voting delegates present at a General Assembly (Meeting) or special General Assembly, duly convened for the purpose, provided always that three months’ notice and a copy of such proposed amendments in writing be made available to all members of the Association.
    A petition signed by no fewer than a quarter (1/4) of the member Churches accompanied by all details of such proposals for amendments shall be given through the General Executive Committee to all members of the Association.
    A copy of such amendments in writing, shall be made available to the delegates at least a day before the vote is taken.

Appendix A

  1. Discipline
    The purpose of Discipline The purpose of discipline is for the good of the offender and the purity and witness of the Baptist Church.

The objective of Discipline The primary objective of discipline as exercised by the Association is to restore the offender. Discipline is not exercised merely to give out punishment or simply to set an example. What the Association wants is for the offender to repent, change his ways and be restored to the Christian fellowship and take his proper place in the body of believers. The holy standard God sets in His Word for His Church requires that sin should be dealt with by disciplining the offender who refuses to confess wrong and persistently and deliberately continues in sin. This shall apply to full time workers, member Churches and any Executive member (Mat 18:15-17; 1 Jn 2:15-17; 2 Th 3:6.11.14.15; Tit 3:10-11; 1 Co.5:1; Ro 16:17; 1 Ti 3:5-9.).

  1. Some Matters Requiring Discipline 2.1. Heresy Heresy – i.e., repudiating the Christian faith, denial of the Lordship of Jesus (1 Ti 1-2; Tit 3:10; 2.Pe 2:1; Gal 1:9.).
    2.2. Disorderly Conduct Those who persistently yield to the desires of the sinful nature and live in violation of God’ s Law or walk disorderly, contrary to the Word of God, will be disciplined (Gal 5:19-21; 1 Co.6:9-11; 2 Co 6:14-7:1; Col 3:5-10;).
  2. Execution of discipline 3.1. The General Executive Committee may suspend and/or recommend the member’s expulsion for reasons considered valid in the light of this constitution. Expulsion must be approved by the two thirds (2/3) vote of all voting delegates at the General Assembly. Notice of a motion by the General Executive Committee to expel must be given in writing to all members between thirty (30) and ninety (90) days prior to the meeting of the General Assembly.
    3.2. A person who is under Church discipline automatically ceases to function in the affairs of the Association, Executive member or full time worker.

BY- LAWS

  1. Membership 1.1. A Baptist Church applying for membership in the Zambia Baptist Association shall authorise its application for membership through its own due process and shall, either directly or through its officers or a duly empowered committee, subscribe to the objectives, obligations and financial support of the Zambia Baptist Association as set forth in the Constitution and By – Laws of the
    B.G.M.

1.2. Each Baptist Church holding membership in the Zambia Baptist Association shall have an identity of its own yet interdependent with other Baptist Churches, and shall not exist as an integral part of some other Church.
1.3. Every Member Church shall accept responsibility and commitment for the share of financial support, for the work and participation in the programmes of the Zambia Baptist Association.
1.4. Every Member Church shall assume responsibility for promotion in its own sphere of influence of the Zambia Baptist Association programmes consistent with its own work.
1.5. In order that the Zambia Baptist Association may share information; each Member Church shall report to the Zambia Baptist Association annually. Submit statistics on the number of persons in its membership, based on careful reports or surveys of that membership. Special activities or developments in areas such as evangelism, Christian education, missions and ministry to the needy should be reported as they occur. Furthermore, each Member Church should report regularly to its constituency through its own publications, announcements and annual Church meetings on the Ministry of the Zambia Baptist Association.

  1. Procedure for Appointment of Delegates to General Assembly
    2.1. Only such delegates as are duly accredited under articles 4 of this constitution shall have the right to vote.
    2.2. Every Member Church shall be entitled to appoint to each General Assembly the number of delegates which is determined by the membership of the Church in the following order: Church with members Appointed number From of delegates 15-50 Two (2) 51-100 Three (3) 101-150 Four (4) 151 upwards Five (5)
    2.3. Those preaching points referred to under article 1.2 may send a delegate who shall have the right to participate in discussions though not to vote.
    2.4. All sessions shall be open to the news media unless otherwise determined by the General Assembly (Meeting) itself or by the General Executive Committee.
  1. Responsibility for General Assembly (Meeting) The General Executive shall be responsible for the initiation, organisation, promotion and finance of the General Assemblies (Meetings) of the Association and the General Executive shall be responsible for:
    3.1 Signing of Contracts
    3.2 Payment of all bills that are properly authorised in relation to the meeting.
    3.3 Such matters as may be delegated to the office of the Executive Director by the Executive Committee or by the General Assembly (Meeting). The General Executive Committee Such matters as may be delegated to the office of the shall set registration fees at levels designed to assure adequate financing for each meeting.
  2. The General Executive Committee 4.1 The General Executive Committee will meet four times a year. Other meetings may be considered necessary upon the call of the Chairman, the Executive Director and/or the Executive Secretary.

A meeting may also be called upon the request of not less than five of its members. Such a request will be made in writing and deposited with the Chairman or the Executive Director. Notice of any meeting shall be despatched to every member of the General Executive Committee one month before the date for which it is convened.

4.2 Not less than five members shall constitute a quorum for the transaction of business.

4.3 So far as practicable, one month’s notice shall be given to each member of the General Executive Committee of matters for consideration other than routine business.

4.4 Dismissal from the General Executive Committee. The General Executive Committee by a two-thirds (2/3) majority vote may suspend an Executive Member who fails to fulfil his responsibilities upon recommendation of a Member Church or three General Executive Committee members. A suspended member shall be removed from office only upon a two-thirds majority vote at the Biennial General Assembly (Meeting).

4.5 Other meetings may be arranged at the discretion of the General Executive Committee or the Biennial General Assembly (Meetings).

4.6 Officers: General Executive officers shall be the Chairman, the Executive Director, Treasurer, Vice Chairman and Executive Secretary.

  1. Composition of the General Executive Committee There shall be an Executive Committee of composed of the Chairman, the Executive Director, Treasurer, Vice Chairman, Executive Secretary, three (3) committee members and up to four (4) additional co-opted members (co-opted by the Executive Committee) all of whom shall be from fully-paid-up Member Churches of the Association. District chairman and in some cases provincial chairman shall be ex-official members of the executive committee.
  1. Qualifications and duties of Officers
    Qualifications

6.1.1 He must show spiritual maturity as evidenced by the fruit of the Spirit and an awareness of his spiritual gifts.

6.1.2 He should have the qualifications as the Bible teaches for being an overseer.

6.1.3 Be an active member of his local church. (1 Ti.3:1-7; Tit 1:6-9.)
Duties of Officers

6.2.1 Chairman

6.2.1.1 The Chairman will preside over the General Assembly (Meeting) and the General Executive Committee meetings. In his absence or at his discretion, the Vice Chairman will preside from time to time.

6.2.1.2 The Chairman is expected to strengthen the programmes of the Zambia Baptist Association by fraternal counsel, messages and visits to the Constituency.

6.2.1.3 In co-operation with the Executive Director, he should give leadership in achieving the objectives of the Zambia Baptist Association as provided in the Constitution.

6.2.1.4 He should be available for consultation with the Executive Director as desired.

6.2.1.5 Either the Chairman or the Executive Director in consultation with each other shall speak for the Association. The Chairman is not a salaried officer of the Zambia Baptist Association.

6.2.1.6 Have an agenda for the meeting before him and proceed in a business-like manner.

6.2.1.7 Have a working knowledge of parliamentary law and a thorough understanding of the Constitution and By-laws of the Association.

6.2.1.8 Refrain from entering the debate in question before the Assembly. If it is essential that this be done, the Vice Chairman should be placed in the chair. The Chairman is not permitted to resume the chair until after the vote has been taken on the question under discussion.

6.2.1.9 At the appropriate time, note whether a quorum is present; if so, call the meeting to order and declare “a quorum is present”. If not, all the decisions will be provisional pending ratification at the next meeting where a quorum is present.
6.2.2 The Vice Chairman

6.2.2.1 Shall serve as an alternative to the Chairman.

6.2.2.2 To assist the Chairman at all meetings or business sessions, giving helpful suggestions.

6.2.2.3 In official meetings, the Vice Chairman should preside in the absence of the Chairman or whenever the Chairman temporarily vacates the chair.

6.2.2.4 If the Chairman should be absent for a long period the Vice Chairman may exercise all duties of the Chairman.

6.2.2.5 The Vice Chairman can fill vacancies where the by-laws allow the Chairman.

6.2.2.6 In the absence of the Chairman, the Vice Chairman is an “ex-officio” member of any Committee.

6.2.3 The Executive Secretary

6.2.3.1 Record and forward the minutes of all meetings.

6.2.3.2 Should write such letters as the General Executive Committee members may designate.

6.2.3.3 Should keep a neat and careful record of all business done in the meetings, with the exact wording of every motion and whether it was lost or carried.

6.2.3.4 The minutes should show the names of persons appointed to committees.

6.2.3.5 A motion which was withdrawn should not be recorded.

6.2.3.6 Serve for four years and shall be eligible for re-election.

6.2.4 The Treasurer The General Executive Committee shall be responsible through the Treasurer to:

6.2.4.1 Collect and spend the funds for the purposes and objectives for which the Association has been established on the basis of a budget approved by the Biennial General Assembly (Meeting).

6.2.4.2 Shall serve as Chairman of the Fund Raising and Budget Committee.

6.2.4.3 The accounts of the Association shall be maintained by the Treasurer who shall present an audited statement of the accounts to the Executive Committee and at the Biennial General Assembly (Meeting).

6.2.4.4 Act as the custodian of its funds.

6.2.4.5 Shall keep records fully itemised and control the finances of the Association.

6.2.4.6 Advise Member Churches concerning biennial approved budget by the General Assembly (Meeting).

6.2.4.7 Visit if and where possible Member Churches who are in arrears with their annual membership fees before and after the Biennial General Assembly (Meeting) to advise members how to fulfil their financial obligations.

6.2.4.8 Quarterly send notices to Member Church treasurers concerning the Member Church commitment to pledges and other freewill donations or gifts to the Zambia Baptist Association.

6.2.4.9 Make quarterly financial balance sheets and give copies to the Executive Director and the Chairman of the Zambia Baptist Association.

6.2.5 The Executive Director

6.2.5.1 Qualifications – He must show spiritual maturity as evidenced by the fruit of the Spirit and an awareness of his spiritual gifts. – He should have the qualifications as the Bible teaches for being an overseer. – He must be a graduate of a recognised evangelical Bible College or Theological Bible College. – Be an active member of his local church (1 Ti.3:1-7; Tit 1:6-9;).

6.2.5.2 Duties The Executive Director is the leader of the staff team. Towards the staff, he carries the main responsibility in matters such as administration and spiritual oversight. Helping to maintain spiritual standards and provide spiritual oversight in the ZBA as defined in the statement of faith, by personal example and encouragement of the same in other persons and executive officers. In addition he is the leading field worker, his general task is to determine the shape of the growing ministry of the Zambia Baptist Association, to maintain a balance to its various ministries and to ensure that it is related to and understood by Member Churches.

  1. Mission Organisations and Donor Agencies (Partners) A membership agreement should be worked out and signed by any Mission and/or Donor Agency wishing to enter into partnership with ZBA.

Partnership agreement between ZBA and Missions 7.1.1 The Mission shall agree not to establish Churches as a denomination in Zambia but to use its resources (of personnel and finances) to establish Churches in co-operation with ZBA.

7.1.2 The Mission shall accept the constitution of the ZBA as the basis of co-operation and agree to work together:

7.1.2.1 To establish new Churches in areas where the need exists and being agreed by mutual agreement.

7.1.2.2 In assisting the Association to promote their objectives.

7.1.2.3 To serve in Institutions and specific ministries of ZBA where such assistance is required.

7.1.3 All assignments including evangelism, outreach and work strategies shall be decided upon by mutual agreement and be filed.

7.1.4 Close relationship and co-operation shall be maintained between missionaries represented by the mission representative and the ZBA represented by the Executive Director.

7.1.5 The mission representative will be an ex-officio in the ZBA Executive Meetings with voting rights. One executive officer of ZBA will be an ex-officio member of the missionary committee with voting rights.

7.1.6 All newly established Churches by the mission personnel shall become members of the ZBA.

7.1.7 The Mission personnel can be reassigned after mutual agreement with regards to their new responsibilities.

7.1.8 Where missionaries require registration or certificates for government purposes while working in Zambia, such will be arranged by the Zambia Baptist Association.

7.1.9 Correspondence concerning the planning, development, progress, reporting, re-evaluation of the agreement and all such communication as deemed necessary shall be maintained between the Executive Committee of the ZBA through the Executive Director and the Mission through the International Director or its representative.

7.1.10 Any details of such an agreement shall be laid down in writing and be signed.
7.2 Donor Agencies
7.2.1 The Donor Agency shall agree that any projects within the ZBA or any of its Member Churches have to be agreed upon by the General Executive Committee and the Donor Agency.

7.2.2 The Donor Agency agrees to design their projects or send their personnel in a way that the ZBA constitution will be respected.

  1. Financial Policies 8.1 The books of accounts shall be kept at the Treasurer’s office, or at such other place or places as the General Executive Committee thinks fit and shall always be open to the inspection of the General Executive Committee.

8.2 The financial year of the Association shall be from January – December.

8.3 Audit: Auditors shall be appointed and their duties regulated by the General Executive Committee.

8.4 The Chairman, Vice Chairman, Executive Secretary and Treasurer, since they are not salaried officers, the Association will offer reimbursement for out of pocket expenses for all who carry out work assignments on behalf of the Zambia Baptist Association. Assurance of reimbursement must be obtained in advance from the Treasurer.

8.5 All Association financial transactions shall be on the basis of a budget prepared by the General Executive Committee and approved by the Biennial General Assembly (Meeting).

8.6 Funds of the Association shall be used as agreed in the budget. Undesignated funds may be used as agreed by the General Executive Committee. Undesignated funds shall be used for the purpose designated, unless the donor is consulted and a new designation is agreed by the Biennial General Meeting. Funds once donated to the Association shall not be returned to donors unless provision for this is made at the time of donation. Money paid by the donor will attract five percent (5%) handling and administration charges and currency fluctuation be deducted.

8.7 All financial operations shall be conducted in accordance with the Association’s financial policies under the general guidance of the Treasurer.

8.8 An administration charge of five percent (5%) shall be deducted from designated donations to the Association, other than personal support or funds raised directly by Ministries.

8.9 Support solicited from other sources to support ZBA: to maintain Churches, individuals or ministries, etc., shall be channelled through the Zambia Baptist Association.

8.10 In the event that a church decides to disassociate with the ZBA and / or if the ZBA expels a member church, any properties or assets which had been sponsored by the Association shall in such event, be reverted back to the Association.

  1. Fund Raising committee There shall be a Fund-Raising Committee comprising nine (9) persons, appointed biennially by the General Executive Committee from Member Churches together with the Executive Director of the Association, the Vice Chairman of the Association and the Treasurer who shall be Chairman of the Committee. In the absence of the Executive Director, the Executive Secretary of the Association shall attend the meeting of the said Committee. The District Fellowship Committee Treasurers shall attend as consultants at the discretion of the Fund-Raising Committee.

The Fund-Raising Committee shall present for ratification their recommendations of the systems of fund raising to the General Executive Committee.

Each district, in consultation with the Fund-Raising Committee, shall arrange for meetings for fund raising to explain to local Church leaders how the systems will operate.

In addition to the above activities of fundraising, the Association may form and run a Limited Company.

  1. Projects Committee There shall be a Project Committee which shall comprise of not more than nine (9) people appointed by the General Executive Committee from Member Churches. The Executive Director, the Chairman and/or Vice Chairman of the Association shall attend meetings as exofficio members. The Project Committee will operate under the supervision of the General Executive Committee, who shall set priorities for the various projects. The objectives of the committee shall be:

10.1 to advice churches who are eligible to ZBA funding in planning on size and type of building projects.

10.2 to activate man-power and expertise within ZBA to assist in ongoing projects.

10.3 in consultation with the General Executive Committee the Projects Committee shall source for funding from donors for purposes of undertaking major projects.

  1. Ministries Ministries will operate within the organisational structure of ZBA (compare Appendix C). Ministries shall make available to the General Executive Committee through the Executive Director half yearly reports explaining their operations, progress, problems and financial affairs. An annual written report, including their financial affairs, has to be submitted three months prior to the Biennial General Meeting/Business Meeting to the General Executive Meeting through the Executive Director. The ZBA Treasurer shall be allowed to check the financial books of the ministries.

11.1 Christian Education Objectives:

11.1.1 Sponsor leadership training workshops and seminars in conjunction with the General Executive Committee.

11.1.2 Develop leadership and discipleship in local Churches, especially where there are no pastors, and in newly established Churches.

11.1.3 Translate special teaching and training materials to help the less learned Christian members in our Churches – on their level of understanding.

11.1.4 Promote Christian education and implement the strategies and goals of the ZBA in the area of teaching.

11.1.5 To take common and concerted action with a view to awakening Christian people to the dangers of modernism, cults and to any form of ecumenicalism that is achieved at the expense of vital Christian truth which undermines the Scriptural foundation of the Gospel testimony.

11.1.6 Conduct teaching District Conferences once each year.

11.1.7 Spearhead and run the Spiritual, Administration and Maintenance of the Musenga Retreat Centre.

11.2 The Districts District Committee Member Churches of the ZBA shall be grouped wherever possible into District Fellowship Committees according to geographical location for purposes of fellowship and co-ordinating the work of God. All District Fellowship Committees shall function according to the Constitution of the Association.

11.2.1 Aims of the Districts: Provide spiritual fellowship amongst ZBA Member Churches in their area as a means of a united action in promoting unity and brotherly love among God’s people in the district.

11.2.2 Plan for and execute the work of evangelism and outreach in the district. They should plan for the planting of new Churches where none exist in the district.

11.2.3 Plan for Biblical teaching to be given in the district in consultation with the Christian Education Department. This will include: (1) A district Bible Teaching Conference once a year; (2) to organise seminars for Church leaders, Youth leaders, Sunday School teachers and Women‘s leaders, etc.

11.2.4 Organise leadership seminars in conjunction with various ministries such as Christian Education, Youth, Sunday school, and Women etc.

11.2.5 Where needed Good News Ministry should be involved to establish and encourage new Churches.

11.2.6 Ensuring that the work of the Association (ZBA) is adequately supported.

11.2.7 To ensure that the churches are faithful in their financial support, so that the Lord’s work through the Association can expand.

11.2.8 To encourage local churches and possibly Church members (individual Christians) to continually support the Association by prayer and financial assistance in order for the Association to meet its annual budget.

11.2.9 To ensure the practical promotion of unity and brotherly love amongst God’s people.

11.2.10 To make data available (statistics, financial etc.) to the Association, for the purposes of evaluation and future strategy of the ZBA.

11.2.11 To be a channel of information from the local churches and the Association about the developments in the districts.

11.3Missions (Good News Ministry)

11.3.1 To survey or explore new areas where the Association has no work, in close co-operation with the nearest district, with a view to establishing new Churches of the Association.

11.3.2 To encourage Churches to evangelise by training its members for the same.

11.3.3 To provide a network for collecting and sharing information about: (1) evangelistic strategies; (2) evangelistic activities; (3) evangelistic results; (4) areas of evangelistic needs across the country.

11.4Children’s Ministry (Sunday School) In conjunction with the Churches the Children’s Ministry shall draw up training programmes for Sunday school teachers and make available teaching materials in the appropriate languages.

11.5 Youth

11.5.1 The Youth Ministry shall help and encourage, in conjunction with the local Churches/districts the formation of youth groups at the local and district levels.

11.5.2 The intended goal of the Youth Ministry is to make the young people into mature, loyal and faithful Christians.

11.6 Women ‘s Wing

11.6.1 The objectives of the Women ‘s wing is to promote unity and love amongst women‘s groups, both in local Churches, districts and the Association.

11.6.2 To assist women in local Churches with the necessary training as a means of encouraging them to witness, to support evangelism, to organise seminars, to train and counsel younger women on how to manage their homes as Godly women, etc.

11.6.3 To share concern for the social needs in accordance with the Scripture e.g. widows and orphans (Jas 1:27; Tit 2:4;).

  1. Departments Departments will operate within the organisational structure of ZBA (see Appendix C). Departments should make available to the General Executive Committee, through the Executive Director, half yearly reports explaining their operations, progress, problems and financial affairs. The ZBA Treasurer shall be allowed to check the financial books of the departments. The departments should be self-sustaining financially, except the clinic.
    12.1 Agriculture The objective of the Agriculture Department is to train and educate people in the local community with a view to improve their living conditions in order to encourage good health and help to eliminate malnutrition.

The purpose of the Agriculture Department is to bring the Good News of Jesus Christ to the Community through social activities (Agriculture).
12.2 Bookshop The objective of the bookshop is to make Christian Literature available to the Community we seek to serve. This should help the people to know more about God and mature in the Christian faith.
12.3 Clinic The objective of the Clinic is to bring the Good News of Jesus Christ to the people through medical care and chaplaincy services (Mt 10; 25:36-39).

12.4 Social and Community Development. The department will coordinate all social and community programmes among member churches, for self sustainability.

The Zambia Baptist Association exists as an expression of the essential oneness of Baptist people in the Lord Jesus Christ, to impart inspiration to the fellowship and to provide channels for sharing concerns and skills in witness and ministry. The Association recognises the traditional autonomy and interdependence of Churches.
